Terms and Conditions

These general terms and conditions regulate the relationship between Iconic Studio and the client when executing projects.

Work

Iconic Studio agrees to produce project materials (the “Work”) at the request of the Client against pre-agreed fees and delivery of the Work within an agreed deadline. The designer agrees that he will be the sole author of the work, which will be original work and free from plagiarism. Iconic Studio will cooperate with Client in editing and otherwise reviewing the Work prior to completion and/or launch.

Scheme

This agreement assumes work is completed within the standard work week (Monday-Friday, 9am-5pm). Hours billed outside this range or assignments that must be performed urgently may incur costs for urgent/after-hours. Unless an exception is discussed, Iconic Studio is closed on all major holidays.

Customer Representative

The customer or their designated representative has full authority to provide and obtain all necessary information and approvals during a project. Costa Paes and the Client or their designated Representative warrant that they have full power and authority to enter into this agreement and that it is binding on Iconic Studio and the Client and enforceable in accordance with its terms.

Customer Responsibilities

The Client and/or their subcontractors shall provide Iconic Studio with accurate, complete and timely information and materials. Customer warrants that it has all necessary rights and title to such materials to enable Iconic Studio to use them for the project.

Invoices and Billing

All invoices must be paid within 30 days of the invoice date. In some cases, Iconic Studio may require 50% of the invoice upfront as an advance payment, or full payment before the project begins. If the payment obligation is not met, Iconic Studio can take legal action to collect this claim and charge additional administration costs.

Revisions

Iconic Studio will provide proofs and revisions on a reasonable schedule, usually within 1-2 business days from last communication with Customer. To avoid errors, all communication regarding revisions will be made via email. Any text with major changes should also be provided within the context of the layout, stating the revised text (pdf or scanned hard copy markup are preferred).

Confidentiality

Iconic Studio acknowledges that it may receive or have access to information related to Customer’s past, current or future products, supplier lists, creative works, marketing strategies, current projects/proposals and other proprietary information. Designer agrees to protect the confidentiality of Client’s proprietary information and all physical forms thereof, whether disclosed to Iconic Studio before signing this Agreement or thereafter. Unless strict confidentiality has been requested by the Client prior to the conclusion of this agreement, Iconic Studio may show materials and final work made for the Client on the Iconic Studio website (https://iconicstudio.nl).

Deliverables

Upon completion of the project, Iconic Studio will send an invoice for the balance due for the Work. Iconic Studio usually ships the products via email or a file sharing service (e.g. WeTransfer) within one business day of receiving payment. Any unusual or specific delivery specifications must be expressed in writing by the customer before work on the project starts.

Approval

The client will approve and proofread all final drafts, proofs and test sites. Iconic Studio will make every effort to ensure that no information is misrepresented. However, Customer assumes all responsibility for the content. Upon acceptance of the Work, Client accepts responsibility for any further processes in which this work is used (e.g. film, printing, etc.). Iconic Studio is not responsible for errors that occur in the Work or projects related to the Work after acceptance of the Work by the Client.

File storage

After all agreed deliverables have been sent and received, the storage and back-up of those files is the Client’s responsibility. Iconic Studio normally saves all working files, but Iconic Studio is not responsible for the backup or storage.

Cancellation

Both parties understand that Customer or Iconic Studio may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. In the event of written or verbal cancellation, the Client is responsible for payment of all costs incurred and any hours spent on the Work. If the Client cancels the project after delivery, the Client is responsible for full payment of all hours spent on the Work. In the event of cancellation, Iconic Studio retains ownership of all copyrights and original work created.

Licenses

Unless an alternative agreement is reached before work begins, or Customer has contracted Iconic Studio to design an editable template within a software platform, Customer is entitled to use the final flattened images without modification. Source/layered/native files remain the property of Iconic Studio unless Customer acquires them. The associated licenses and any unused drafts or work in progress are maintained by Iconic Studio. If the Work requires the Customer to purchase a one-time license (for example, for a font, stock photography, or plug-in), Iconic Studio will notify the Customer and include the license as a line on the final invoice. In the case of subscription billing for the license (eg, monthly, quarterly, half-yearly or annual payments.), Customer must purchase this license itself.

Attribution

If the context permits, the following statement will appear on all publicity/promotion of the work, including, but not limited to, prizes, contests, press releases, etc.:
